EHEDGER MEMBERSHIP TERMS AND CONDITIONS
THE UNDERSIGNED SUBSCRIBER (“You” or “Subscriber”) hereby consents and agrees to the following terms and conditions for his/her/its subscription to EHedger’s Membership Agreement:
1. Services; Term; and Fees. This Agreement shall commence upon EHedger’s acceptance of Subscriber’s offer to purchase a subscription. EHedger will provide all membership services(”Services”) for a period of one year. As consideration for providing the Services, Subscriber agrees to pay EHedger an annual fee set by EHedger.
2. Limitations on Use. All Services are intended solely for the Subscriber and are not to be disseminated without the prior consent of EHedger. EHedger reserves the right to terminate or restrict Subscribers access to the Services. The information contained in the Services is believed to be reliable, but is in no way guaranteed. All calculation and monetary values are an estimate and are not guaranteed to be reliable. and are not Subscribers assume the risk of any such recommendations and indemnify and hold EHedger, its subsidiaries, affiliates, officers, directors, employees, and agents harmless for any and all losses, costs or tax consequences incurred as a result of your use of the Services.
3. Renewal. Subscriber’s subscription will renew automatically, unless EHedger terminates it or Subscriber notifies EHedger by mail or email before the renewal date.
4. Cancellation and Refund Policy. You may cancel the Membership at anytime. However, all payments are final and under no circumstances is EHedger required to refund all or part of the Subscriber’s fee.
5. General. EHedger may change the terms of this Agreement at any time by notifying Subscriber of the change. Subscriber signifies its acceptance and agrees to be bound by such changes by accessing any update after changes are made. You agree that this Agreement, as well as any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the State of Illinois. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or state court located in Chicago, Illinois.
6. DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY. YOU AGREE THAT YOUR SERVICES ARE ON AN “AS-IS”, “AS AVAILABLE” BASIS AND EHEDGER SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED. EHEDGER AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND LICENSORS (”THE EHEDGER PARTIES”) WILL NOT BE LIABLE (JOINTLY OR SEVERALLY) TO YOU OR ANY OTHER PERSON AS A RESULT OF YOUR SERVICES FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS AND LOST REVENUES (COLLECTIVELY, THE “EXCLUDED DAMAGES”), WHETHER OR NOT CHARACTERIZED IN NEGLIGENCE, TORT, CONTRACT, OR OTHER THEORY OF LIABILITY, EVEN IF ANY OF THE EHEDGER PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY OF THE EXCLUDED DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF AN ESSENTIAL PURPOSE OF A LIMITED REMEDY. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN THE EHEDGER PARTIES’ LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW.
